Wholesale Terms of Service

These terms apply to B2B ready-style purchases, sample development and custom garment production with Floravincie. A written Proforma Invoice (PI), approved quotation or signed order confirmation may contain order-specific terms. If there is a conflict, the latest mutually approved PI or written specification controls for that order.

1. Ordering routes

• Ready styles, 1-10 pieces: use the listed product options and native SHOPLINE checkout. Payment is due in full at checkout.
• Larger ready-style orders: standard payment is 30% deposit and 70% balance before warehouse pickup or after we provide agreed shipment/forwarder handover documents.
• Custom production: standard payment is 50% deposit and 50% balance before warehouse pickup or after we provide agreed shipment/forwarder handover documents.

Bank-transfer prices or fee-saving adjustments apply only when shown on an official quotation or PI. Always confirm beneficiary details through our verified contact before transferring funds.

2. Sampling and development

Typical development charges are itemized so buyers can see what they are paying for. Outerwear commonly uses a USD 40 pattern fee plus USD 30 sample-sewing fee and estimated material cost from USD 12. Dresses and sets commonly use a USD 30 pattern fee plus USD 18 sample-sewing fee and estimated material cost from USD 10. Final material and special-process charges depend on the selected fabric, trims, print, embroidery and construction. A buyer may provide a paper pattern or physical sample; we can also source materials and prepare the sewing sample for review.

Typical sample development is 1-4 working days after pattern, fabric, trim and construction details are confirmed. Time spent waiting for fabric selection, color confirmation or customer feedback is not included. Development work and sourced materials are non-refundable once started.

3. MOQ and production time

Custom production normally starts from 50 pieces per style/color agreement. Highly complex or heavily embellished styles may start from 80 pieces. Typical production is 7-15 working days after deposit and final sample/specification approval. Orders over 500 pieces or complex styles usually require 7-25 working days. These are planning estimates, not carrier transit times. Urgent orders may be split and shipped in approved partial lots when feasible.

4. Approval and measurements

Bulk production begins after written approval of the relevant sample, measurements, fabric, color and workmanship. After a working relationship is established, approval may be completed remotely using clear photos, videos and tape-measure verification. Customer approval of a sample or measurement record authorizes production to that specification. Any requested change after approval may affect price, materials and lead time.

5. Customer materials and intellectual property

The buyer confirms that it has permission to use any reference image, artwork, logo, print, pattern, label or design supplied to us. The buyer is responsible for third-party intellectual-property claims arising from customer-supplied materials. We use supplied files only for quotation, development and production unless permission is given for other use.

6. Inspection, packing and delivery

We perform piece-by-piece outgoing QC. Standard individual zipper-bag packing and export carton packing have no additional packing charge. Hanger packing is available from USD 1 per piece and may increase dimensional freight. EXW pickup, buyer-appointed forwarders and arranged international shipping are supported. Delivery terms, freight, duties, insurance and transfer of risk follow the approved PI or shipping confirmation.

7. Cancellation and changes

Deposits secure capacity and materials. Once pattern work, sourcing, material purchase or production has started, cancellation or material changes may incur the completed work and committed material costs. We will document the status and seek the most practical solution.

8. Quality claims

Quality claims follow the Wholesale Returns, Quality Claims & Remedies policy. Verified issues are resolved according to the affected quantity and evidence through rework, replacement, credit, refund or agreed balance deduction.
